FTC Lowers Hart-Scott-Rodino Pre-Merger Thresholds
Washington, District of Columbia

The Federal Trade Commission has published its annual revisions to the Hart-Scott- Rodino Act jurisdictional thresholds. In its January 21, 2010, announcement, the FTC for the first time lowered HSR thresholds to:

* Reduce the minimum threshold for a reportable transaction from the current $65.2 million to approximately $63.4 million.

* Reduce the threshold for transactions as to which the “size of persons test” need not be satisfied from the current $260.7 million to approximately $253.7 million.

* Reduce the thresholds used in applying the “size of persons” test from the current approximately $13 million to $12.7 million and from the current $130.3 million to approximately $126.9 million.

Adjustments also will apply to many, but not all, of the dollar values in HSR regulations, including many of the exemptions. Filing fees will not increase.

The new thresholds will become effective February 22, 2010, and apply to transactions closing on or after that date.

Bob Moore Construction Participates in 5th Annual SAFE Stand Down
Arlington, Texas

Bob Moore Construction participated in the November 2009 Safety Awareness For Everyone (SAFE) stand-down, sponsored by the Associated General Contractors of America (AGC).

To support the SAFE stand-down, participating general contractors stop work at their jobsites and perform training on current safety-related topics for all workers on the sites. The latest stand-down focused on fall protection and the proper use of harnesses, tie-offs and other safety gear.

“The SAFE stand-down serves a dual purpose of education and emphasis,” said Dino Sideris, safety director for Bob Moore Construction. “Our subcontractors are required to have OSHA-compliant safety programs, so their workers have been given safety training. The stand-down provides refresher training for those workers, perhaps filling in the blanks on things they might not have understood from their initial training and reminding them of things they may have forgotten.

“Even more important, the stand-down provides emphasis,” Sideris added. “The fact that we’re willing to shut down an entire jobsite to spend 90 minutes on safety education delivers the clear message to the workers. It lets them know that we consider safety to be important, and a fundamental, normal way of doing business and we’re willing to take time from our busy construction schedule to reinforce that.”

The first SAFE stand-down took place in May, 2005 and the events have happened twice a year since then. The program started in the Dallas / Fort Worth area and has grown to cover all of Texas. Recent SAFE stand-downs have offered simultaneous safety education to as many as 5,000 workers around the state.

Bob Moore Construction has participated in each stand down and has supported the AGC in the development and implementation of these training events. The stand downs have proven to be successful in reducing jobsite accidents; the north Texas region alone witnessed a decrease in construction jobsite fatalities by more than 50% between 2004 and 2006.

"The stand downs are indicative of how Bob Moore Construction has taken a leadership role in jobsite safety in Texas," Sideris said. "We've helped to develop this program from its infancy. We've also provided OSHA training to other general contractors and worked with AGC to improve safety at jobsites around Texas other than our own."

In January, 2007 OSHA accepted Bob Moore Construction into the OSHA Local Partnership Program, making the Arlington company only the third general contractor in north Texas to earn this prestigious recognition. The company's safety program also contributed to it winning AGC awards for construction excellence and was the basis for Dino Sideris being named the 2008 AGC Safety Director of the Year in North / East Texas.

Bob Moore Construction Completes Largest LEED Gold Core and Shell Industrial Project in Texas
Arlington, Texas

Bob Moore Construction has completed the largest LEED Gold core and shell industrial project in Texas.

The three-building, 1.16 million square foot business park along State Highway 360 in Arlington also is one of the first industrial projects in Texas to earn LEED Gold core and shell certification.

“This is an exciting achievement,” said Kyle Whitesell, senior project manager for Bob Moore Construction. “We were able to deliver a 1.16 million square foot project that is not just LEED certified, but meets the extremely high standards of Gold level certification and is larger than any other Gold industrial project in the state. The fact that this is the one of the first LEED Gold core and shell industrial projects in Texas of any size shows how challenging it is to meet these standards, and I’m pleased that we were able to make it happen.”

Some of the considerations for Pioneer 360 Business Center's LEED Gold certification include:

* The project began with the demolition and asbestos abatement of the Festival Marketplace mall. More than 95% -- 91,634 tons -- of steel, concrete, asphalt, copper and aluminum coming from the mall were recycled rather than sent to landfill.

* Community connectivity and infilling redevelopment rather than adding to suburban sprawl: The project replaced an abandoned mall and was built on already developed land instead of a previously undeveloped area.

* A white roof and light-colored concrete was used to reflect heat and reduce facility cooling costs.

* Use of T-5 warehouse lights for energy conservation.

* Sunlight harvesting: Use of a watt stopper system, which automatically controls lights in the skylighted areas of the warehouse.

Tilt-up construction played an important role in Pioneer 360 Business Center’s success and LEED certification. “We were able to leverage the advantages of tilt-up construction to meet the project’s aggressive schedule and qualify for LEED Gold,” said Ed McGuire, vice president of construction for Bob Moore Construction and vice president of the board of directors of the Tilt-up Concrete Association. “Tilt-up allowed us to raise the buildings’ shells and bring in the trades much more quickly than conventional construction would have permitted, thus compressing the construction schedule. This is a fundamental benefit of tilt-up construction and it was particularly valuable for us at Pioneer 360 Business Center.

“Tilt-up construction was also essential to us qualifying for LEED Gold Certification,” Mr. McGuire added. “By definition, infill development takes place in a relatively confined space and tilt-up is well suited for an environment like this. It also allowed us to use light-colored concrete which was locally produced, which provided additional points during the LEED assessment. From a cost perspective, tilt-up allowed us to deliver the project at a feasible price point, with buildings that will enjoy reduced maintenance and insurance premium costs for decades to come. That makes the project economically viable as well as being environmentally conscious for the developer and future tenants. The Pioneer 360 Business Center is an outstanding example of how tilt-up construction is perfectly suited for green building and LEED certification.”

Around The Clock Freightliner Group Debuts New Two-Building Complex in South Dallas by General Contractor Bob Moore Construction
Arlington, Texas

After four years of double digit sales growth in the Dallas market, the Around The Clock Freightliner Group, LLC (ATC) needed larger facilities to serve its over-the-road and local fleet customers. Its solution was to build a new 200,308 square foot complex along Interstate 20 in south Dallas.

Bob Moore Construction was the general contractor, and Phil Fitzgerald with Fitzgerald & Associates in Oklahoma City was the architect for ATC’s dramatic 24-plus acre campus.

“From the beginning of the planning process, our focus was on providing a customer friendly environment coupled with a facility designed to maximize overall operational efficiency,” said John Miciotto, vice president and chief operating officer for ATC. “The most important features for our customers were ease of entry and maneuverability while on the premises, and then unparalleled amenities inside of the facility.”

The site features extra wide driving lanes, several hundred truck parking spots and more than 30 trailer parking slots, along with a pet park with ten kennels for customers’ four-legged traveling companions.

The 183,088 square foot Building A includes the retail, service area, parts sales and warehousing, training facilities and administrative offices. Building B is 17,220 square feet and houses the truck sales department. Originally designed entirely as pre-engineered buildings, the project ultimately featured a blend of steel and concrete; the structures and roofs are pre-engineered steel systems from Varco Pruden Buildings, and the two-story walls were created with tilt-up construction. Each building features large entry towers, finished with a stone veneer. Fabric awnings cover all office windows, and the buildings are surrounded in accent lighting.

On the interior, the two service areas include sloped floors with 80 work bays and a fully equipped technician training facility in the west service wing. Additionally, the two service areas feature the Matrix Total Fluid Management System that provides tracking and monitoring plus state-of-the-art wireless dispensing for complete control of fluid inventories. The entire Service Department is fully heated and air conditioned to provide a comfortable working environment. There also are two wash bays, one in each wing, and an 8-foot deep, cast-in-place, 120-foot, drive-through lube pit finished with liner panels.

Also on the first floor is the Parts Sales department, with 65,000 square feet of warehousing space. Between Service and Parts Sales are a customer break room and large shower / locker rooms with washers and dryers for drivers. Also in this area is a large television lounge for drivers with theater-styled seating and wireless internet access. At the end of the first floor is a 3,500 square foot retail store, selling a variety of OEM truck parts and accessories.

Executive and administrative offices are located on the second floor. The executive common areas feature wood-covered floors and textured walls finished with a fine brown glaze, with wainscoting, chair rails and crown molding in luxurious wood. This décor carries into the offices, which feature the wood floors, wainscot and crown molding over textured glaze patina; the tray ceiling includes recessed lighting and faux beams. The executive conference room is carpeted, and the walls are covered with a combination of wood wainscoting / textured glaze, wood crown molding and floor-to-ceiling beveled wood panels.

The dealership administrative area features open bays with modular furniture, carpeting, built-in office cabinetry and a variety of break facilities. A conference / training room finished in rich colors and large stone tile flooring supports up to 40 students in a classroom setup, with a small kitchen attached.

Building B features two floors of offices for sales and financial representatives and department management, customer waiting areas and a large conference room. The building is finished with large stone tile and carpeting.

Mr. Miciotto is pleased with his company’s new home. “It exceeds all of our original expectations,” he said. “The feedback we have received has been nothing but overwhelming praise from customers, vendors and employees. Our customers tell us there’s not another commercial heavy-duty truck dealership like ours anywhere in the U.S.”

“This project features some remarkable interior finish-out work and is a showcase for us as well as for ATC,” said Curt Hellen, senior project manager for Bob Moore Construction. “Superintendent Steve Barrons and assistant superintendents David Splawn and Larry Langford managed a very fluid and complex project and did a stand-up job of subcontractor management and collaborating with the owner. This was crucial because the pace of this project required the design team to work very closely together. ATC’s John Miciotto and Project Development Manager Freddy Stephens were some of the most fair, responsive and understanding owner representatives I’ve ever worked with. Their active leadership and involvement made it possible for us to meet the project schedule.”

“There were many variables under consideration in our decision as to which general contractor we would end up doing business with,” said Mr. Miciotto. “While the total project cost was important, cost alone did not drive us to do business with Bob Moore Construction. It was also about our comfort level with the professionalism, knowledge and experience of the entire team at Bob Moore Construction plus the time frame in which they committed to complete the project.
