Federal Agencies Team Up in Task Force to Fight Financial Crimes

Following up on enactment of the Fraud Enforcement and Recovery Act (“FERA”), the Department of Justice, Securities and Exchange Commission, and other federal agencies jointly announced the formation of the Financial Fraud Enforcement Task Force.

The Task Force, established by an Executive Order of the President on November 17, 2009, intends to “wage an aggressive, coordinated and proactive effort to investigate and prosecute financial crimes,” Attorney General Eric Holder said. The Task Force replaces the Corporate Fraud Task Force created in the wake of the Enron and WorldCom scandals.

The Task Force will focus on:

* Mortgage fraud from simple real estate “flip” scams to complex nationwide housing market lending schemes.

* Fraud in American Reinvestment and Recovery Act programs.

* Securities fraud, including insider trading, Ponzi schemes and misrepresentations to investors.

* Discrimination in lending markets.

Government agencies will share information on these problems through the Task Force and coordinate both civil and criminal prosecutions of wrongdoing. The SEC noted at a press conference announcing the Task Force that in Fiscal Year 2009, it had filed more than 150 civil enforcement cases in coordination with criminal charges filed by the DOJ, an increase of 30 percent over Fiscal Year 2008. In addition, the Task Force intends to coordinate efforts with state and local attorneys general and local law enforcement officials.

Attorney General Holder said the Task Force will take advantage of the new legislative authorities that FERA provides to investigate and prosecute financial fraud. Those include a broader definition of the term “financial institution” under a series of criminal statutes to include private mortgage brokers and other non-bank lenders. See, FERA §2.

FERA amends the criminal securities fraud statute at 18 U.S.C. §1348 to specifically prohibit fraud schemes involving “any commodity for future delivery, or any option on a commodity for future delivery.” See, FERA § 2 (e). The change expressly expands the reach of the statute to cover schemes involving derivative and other financial products that contributed to the current distress in the banking and securities markets.

FERA provides substantial amounts of new funding for federal fraud prevention, investigation and enforcement efforts. The legislation authorizes a total of up to $330 million in new spending by the Department of Justice for 2010 and 2011 and an additional $140 million in spending for financial fraud investigations and prosecutions by other federal agencies, including $20 million a year for the SEC. See, FERA §3(e). These agencies undoubtedly will use the extra funds, if appropriated by Congress, to increase the number of fraud investigations and prosecutions.

In addition, FERA amended the federal False Claims Act to make it easier for individuals and the government to bring and prove FCA claims for fraud against the United States. FERA enables government attorneys to obtain Civil Investigative Demands more quickly, which gives them the authority they need to investigate potential FCA claims through subpoenas, requests for documents, interrogatories and sworn depositions. Enactment of FERA and follow-on establishment of the Task Force signal an increased concentration of government firepower on financial and securities wrongdoing. This places a premium on the need for rigorous and regular securities and financial law training and compliance programs for employees. It also underscores the need for companies to thoroughly investigate any report of financial or securities wrongdoing within their ranks and to take appropriate remedial action if those reports lead to the discovery of violations of the law.
